(I, for one, did not know what an X-Wing was until I read this and although I&#8217;m not sorry I read it, I am sorry I now know what an X-Wing is.) Oh, a warning: fasten your seatbelts; it&#8217;s a bumpy (Disney) space ride:<\/p>\n<h2 class=\"date-header\" style=\"padding-left: 30px;\"><em>April 29, 2015<\/em><\/h2>\n<div id=\"entry-6a00d83451bd4469e201b7c782077a970b\" class=\"entry-category-brilliant_arguments entry-category-contracts entry-category-documentspleadings entry-category-intellectual_property_copyright entry-category-lawsuits_unlikely entry-author-kevin entry-type-post entry\" style=\"padding-left: 30px;\">\n<div class=\"entry-inner\" style=\"padding-left: 30px;\">\n<h3 class=\"entry-header\" style=\"padding-left: 30px;\"><em>Plaintiff: Disney Promised to Help Me Build an X-Wing. Court: No It Didn&#8217;t<\/em><\/h3>\n<div class=\"entry-content\" style=\"padding-left: 30px;\">\n<div class=\"entry-body\" style=\"padding-left: 30px;\">\n<p style=\"padding-left: 30px;\"><em>Many remarkable legal documents land in my inbox, and I try to mention as many as I can. Of that group, only a select few are remarkable enough to make it into the Hall(s) of Fame.\u00a0I don&#8217;t think any other case has yielded both a Hall of Fame pleading\u00a0and a Hall of Fame court order, but this is probably such a case.<\/em><\/p>\n<p><em>The <a href=\"http:\/\/courts.delaware.gov\/opinions\/download.aspx?ID=217650\" target=\"_blank\">order, issued in January by the Delaware Court of Chancery<\/a>\u00a0(thanks, Al), starts like this:<\/em><\/p>\n<p><em><a class=\"asset-img-link\" href=\"http:\/\/kevinunderhill.typepad.com\/.a\/6a00d83451bd4469e201b7c781fdf7970b-popup\"><img decoding=\"async\" class=\"asset  asset-image at-xid-6a00d83451bd4469e201b7c781fdf7970b img-responsive\" title=\"X-wing\" src=\"http:\/\/kevinunderhill.typepad.com\/.a\/6a00d83451bd4469e201b7c781fdf7970b-500wi\" alt=\"X-wing\" \/><\/a><\/em><\/p>\n<p><em>That&#8217;s a great summary of the complaint as a document, but what are the facts of the case? Let&#8217;s hear from the plaintiff on that score:<\/em><\/p>\n<p><em><a class=\"asset-img-link\" title=\"Alfred v. Disney Corp.\" href=\"http:\/\/kevinunderhill.typepad.com\/Documents\/Pleadings\/XWing.pdf\" target=\"_blank\"><img decoding=\"async\" class=\"asset  asset-image at-xid-6a00d83451bd4469e201b7c782004a970b img-responsive\" title=\"2015-04-29 at 12.45 PM\" src=\"http:\/\/kevinunderhill.typepad.com\/.a\/6a00d83451bd4469e201b7c782004a970b-500wi\" alt=\"2015-04-29 at 12.45 PM\" \/><\/a><\/em><\/p>\n<p><em>That&#8217;s two\u00a0sentences, but the court did it in one:<\/em><\/p>\n<p><em><a class=\"asset-img-link\" href=\"http:\/\/kevinunderhill.typepad.com\/.a\/6a00d83451bd4469e201b7c782027a970b-popup\"><img decoding=\"async\" class=\"asset  asset-image at-xid-6a00d83451bd4469e201b7c782027a970b img-responsive\" title=\"2015-04-29 at 1.09 PM\" src=\"http:\/\/kevinunderhill.typepad.com\/.a\/6a00d83451bd4469e201b7c782027a970b-500wi\" alt=\"2015-04-29 at 1.09 PM\" \/><\/a><\/em><\/p>\n<p><em>Basically, the plaintiff would like to build an operational X-Wing fighter of the kind that currently can be seen only in\u00a0Star Wars. Plaintiff alleges that all the necessary technology is now available, although <a title=\"Alfred v. Disney Corp.\" href=\"http:\/\/kevinunderhill.typepad.com\/Documents\/Pleadings\/XWing.pdf\" target=\"_blank\">the complaint<\/a> is a little short of details on that. His plan is to build one or more X-Wings between now and the premiere of\u00a0Star Wars: Episode VIII, which\u00a0would give him the ability to offer fans the chance to fly in an X-Wing replica as part of an air show he has designed for the premiere; specifically, 93,000 fans would have the chance to fly for just $10,000 each, generating $930 million in revenue.<\/em><\/p>\n<p><em>The initial development of the X-Wing would be funded by Kickstarter, however.<\/em><\/p>\n<\/div>\n<p>&nbsp;<\/p>\n<div class=\"entry-more\">\n<p><em>Once X-Wing production is underway, he continued, it would quickly become the long-awaited &#8220;affordable automated personal airplane.&#8221; Plaintiff doesn&#8217;t say what the X-Wings would sell for, but he anticipates generating $15.239 billion from selling them, 45% of which he would then invest in the Disney Corporation (if it would just license the rights to him).<\/em><\/p>\n<p><em>Revenue would be enhanced by his planned launch of the campaign during a nationally televised Florida State football game.<\/em><\/p>\n<p><em>Now, you may be asking, why the X-Wing? Because it is a &#8220;symbol of hope and change.&#8221; Aren&#8217;t there other suitable symbols? Some of which, perhaps, are not owned by Disney? No, there are not. Indeed, in all of human history, the plaintiff continues, there have only been three suitably dramatic stories from which such a symbol could be taken: the story of Noah&#8217;s Ark, J.J. Abrams&#8217; first\u00a0Star Trek film, and\u00a0Star Wars IV: A New Hope.<\/em><\/p>\n<ul>\n<li><em>The Biblical story is the oldest, of course. &#8220;The ark is made out of cubits of wood though, so is not a symbol of hope and change.&#8221; Well, not change, at least.<\/em><\/li>\n<\/ul>\n<ul>\n<li><em>Star Trek also has a pretty good plot, which Plaintiff summarizes in detail. (Spoiler alert?) But there are problems. &#8220;In destroying the Romulan mining vessel the Enterprise becomes a symbol of hope and change, but it is not the best symbol we have because the Romulan mining vessel is not the ultimate symbol of evil.&#8221; Also, it is not yet feasible to build the\u00a0Enterprise, sadly.<\/em><\/li>\n<\/ul>\n<ul>\n<li><em>Star Wars IV, however, is the perfect source. In destroying planets for the sole purpose of dominance, &#8220;the Death Star becomes the ultimate symbol in the entire recorded history of the English language.&#8221; Thus, the X-Wing that destroys it becomes the ultimate symbol of hope. And because it has &#8220;lasers, proton torpedoes, [VTOL] technology, and a fusion engine it is also a symbol of change. Thus it is the ultimate symbol of hope and change.&#8221;<\/em><\/li>\n<\/ul>\n<p><em>What stands between humanity and this new golden age? Disney.<\/em><\/p>\n<p><em>Plaintiff allegedly proposed all this to Disney in 2014, only to be rebuffed. Told that the company does not accept outside submissions, he alleged that he &#8220;offered to be hired by [Disney]&#8221; in order to solve that problem, but was told by a &#8220;nameless attorney&#8221; that the executive team was not interested.\u00a0This gave rise to two causes of action, the plaintiff alleged. First, Disney breached an implied contract formed when the parties participated in a conference call. &#8220;Why even take the [call] if there were not mutual agreement[?]&#8221; the plaintiff reasoned. Second, and similarly, certain promises were allegedly made during this call on which the plaintiff justifiably relied, giving him an action for promissory estoppel.<\/em><\/p>\n<p><em>Wherefore, Plaintiff concludes, Disney should be ordered to agree to license the X-Wing rights to him, support the building of one or more X-Wings for the premiere event, and give him two minutes of air time during a nationally televised Florida State football game.<\/em><\/p>\n<p><em>The court somewhat reluctantly held that the claims failed. The two Disney executives that Plaintiff sued are not subject to personal jurisdiction in New Jersey, the court held, and so the claims against them had to be dismissed. But in any event, it continued, both of Plaintiff&#8217;s claims failed because Plaintiff had not alleged Disney agreed to do anything more than take his phone call, and it did that. &#8220;The Plaintiff&#8217;s marketing proposal may strike one as far-fetched or, perhaps, brilliant,&#8221; the court concluded, but nothing he has alleged shows the defendants &#8220;took any action which can bind them contractually or equitably to participate in the Plaintiff&#8217;s scheme.&#8221;<\/em><\/p>\n<p><em><a class=\"asset-img-link\" href=\"http:\/\/kevinunderhill.typepad.com\/.a\/6a00d83451bd4469e201b8d10b9507970c-popup\"><img decoding=\"async\" class=\"asset  asset-image at-xid-6a00d83451bd4469e201b8d10b9507970c img-responsive\" title=\"Flying car exhibit\" src=\"http:\/\/kevinunderhill.typepad.com\/.a\/6a00d83451bd4469e201b8d10b9507970c-120wi\" alt=\"Flying car exhibit\" \/><\/a>I&#8217;m not doing justice to the court&#8217;s order here, but maybe that can be forgiven due to the nature of this complaint. Even a bright light has trouble competing with the sun. But it is also excellent. In its conclusion, the court suggests that Plaintiff should persevere in his vision of better things to come: &#8220;it reportedly took Edison over a thousand attempts to create the light bulb,&#8221; for example. The court even notes that there are other flying-car symbols that might serve in lieu of the X-Wing, and provides a suggestion in Exhibit A (right).<\/em><\/p>\n<p><em>Hardly a symbol of change, though, and also owned by Disney.
